This document is a combined Financial Services Guide (FSG) and Product Disclosure Statement (PDS) issued by Marmalade Payments (Aus) Pty Ltd (ABN 53 667 303 951, AFSL 700084) (we, us, our or Marmalade).
Our Financial Services Guide (Part A of this document) is designed to help you decide whether to use any of the financial services we provide. It contains information about:

Information relevant to both the FSG and PDS may be included expressly in one part of this document and incorporated by reference in the other. Where this is the case, we identify the relevant cross-reference. This combined FSG and PDS is permitted under regulation 7.7.08A of the Corporations Regulations 2001 (Cth) and is consistent with ASIC Regulatory Guide 168 (RG 168).
Important: This PDS is required to be given to retail clients under Part 7.9 of the Corporations Act 2001 (Cth) (Corporations Act). If this PDS is given to a person who is a wholesale client, it is given for information purposes only and its provision does not constitute an election by Marmalade to treat that wholesale client as a retail client.

Part A – Financial Services Guide
Part A of this document is an FSG provided by Marmalade Payments (Aus) Pty Ltd (ABN 53 667 303 951, AFSL 700084) (we, us, our or Marmalade).

The financial product we provide is a non-cash payment facility (NCP Facility) through our POP platform that enables you to make and receive payments electronically.

You can access the NCP Facility through our POP platform, which is available via our website at www.marmalade.com.au.
To access our services, you must register for a POP account, complete our identity verification process and agree to our POP Terms and Conditions. You may also be required to provide additional information from time to time to use our services.
Before you use our services, it is important that you understand the risks, fees, costs and benefits of using them. For information on the risks, fees, costs and benefits related to the NCP Facility, you should carefully read Part B – Product Disclosure Statement of this document, as well as our POP Terms and Conditions and our Privacy Policy.
Marmalade Payments (Aus) Pty Ltd is part of the Marmalade Group of companies. Marmalade Australia Pty Ltd is a related body corporate within the same group. We have relationships with the following third parties outside of this group that could reasonably be expected to influence us in providing you with the services: Global Payments Australia 1 Pty Ltd (payment processor), Zepto Payments Pty Ltd (virtual account infrastructure provider) and Westpac Banking Corporation (banking partner).

We earn money from any fees you pay us in connection with the NCP Facility. These fees are described in detail in the Fees and Charges section of Part B of this document (see clause 16).

Our employees receive a salary and superannuation where applicable. They may also be eligible for monetary and non-monetary rewards or incentive payments, including bonuses.

As at the date of this FSG, Marmalade does not have any relevant referral arrangements in place in respect of the POP product.

Within a reasonable time of us providing you with this FSG, you may ask us to provide particulars of the remuneration or other benefits that our employees or others receive in relation to providing services to you.

We consider Internal Dispute Resolution (IDR) to be an important and necessary first step in the complaint handling process as it gives us an opportunity to hear when we do not meet our customers’ expectations and address them genuinely, efficiently and effectively.

Part B – Product Disclosure Statement
Part B of this document is a PDS provided by Marmalade Payments (Aus) Pty Ltd (ABN 53 667 303 951, AFSL 700084).
This PDS in Part B of this document is an important document. It provides you with information about our POP non-cash payment facility (NCP Facility), including an explanation of the features, benefits, risks, fees and charges of the NCP Facility so you can decide whether or not to use it. You should read this document carefully before making a decision to use the NCP Facility.
You should also keep this document for your future reference, together with all other documentation relating to the NCP Facility, including our POP Terms and Conditions. If you have any questions or have not received any part of this PDS, please contact us using the details in clause 8 of Part A.

Once registered, you can submit payment instructions through the POP platform. Payments are processed in accordance with our processing times and cut-off schedules, which are available on our website and within the platform.

You can access the NCP Facility through the POP web platform at www.marmalade.com.au.
You access the NCP Facility by signing into your POP account via the relevant platform and submitting your payment instructions.

The significant features and benefits of using the NCP Facility include:

Customers may earn and convert M‑Coin under the Marmalade Rewards Terms and Conditions, which are separate to the POP Terms and Conditions. M‑Coin is a loyalty reward credit that may be applied toward eligible transactions on the POP platform, subject to the terms of the Marmalade Rewards program.
Returned or failed payments are handled in accordance with the applicable Payment Method’s rules and Marmalade’s Payment Processing and Returns Policy. Where a payment is returned, funds are routed back to the payer. Marmalade does not store customer value beyond what is necessary to process returns.
The goods and services you pay for using the NCP Facility, including any refunds in relation to those goods and services, are the responsibility of the relevant supplier or payee. Marmalade is not responsible for the supply, quality, delivery or refund of any goods or services paid for via the POP platform.

Before using the NCP Facility, you should carefully consider the following significant risks as well as other information contained in this PDS or of which you are aware. Consider whether the NCP Facility is suitable for you, given your own objectives, financial situation and needs. The list of risks below is not an exhaustive list.

| Operational risk | Operational risk arises out of the failure or inadequacy of systems, internal processes and people. It can also arise out of external events such as acts of terrorism, natural disasters or pandemics. You are reliant on us being able to process your payments accurately and on time. We, in turn, are reliant on our internal operating processes, including communications and computer networks. A payment may be adversely affected if our operating processes, systems or people for managing these procedures are disrupted, inadequate or fail. |
| Unauthorised transaction risk | You may be exposed to unauthorised transactions, where a payment is initiated without your permission. This risk can arise from: account takeover (where fraudsters gain access to your account); compromised authentication credentials; misuse of saved payment methods if a device is shared or unsecured; device or session hacking, such as through Wi-Fi interception or screen-sharing scams; or social engineering attacks such as phishing. |
| Counterparty and credit risk | We have operational and financial performance obligations under the NCP Facility. You need to be satisfied as to our creditworthiness and our ability to perform those obligations. You must ensure that you have sufficient cleared funds accessible to us to meet your payment obligations on the relevant date. If you do not, we will not be able to process the payment. |
| Payment network risk | Payments processed through the NCP Facility rely on third-party payment networks and banking infrastructure (including the New Payments Platform, direct entry networks and card schemes). Disruptions, outages or errors affecting these networks may delay or prevent the processing of your payments. We are not responsible for failures in third-party networks. |
| Incorrect recipient information | If you enter the wrong account details, BSB, PayID or other recipient information, funds may be misdirected, delayed or in some cases unable to be recovered. You are responsible for ensuring the accuracy of all payment instructions you submit. |
| Fraud and scam risk | You may be the target of payment scams, including invoice fraud, impersonation scams or business email compromise. Once a payment has been processed and funds have been credited to the recipient, it may not be possible to recover those funds. You should verify all payment requests before submitting instructions through the platform. |
| Reversal and chargeback risk | In certain circumstances, payments may be subject to reversal, recall or chargeback. |
| Legal, tax and regulatory risk | Changes in laws, regulations or government policy (including taxation laws) may adversely affect the NCP Facility or the way you use it. We may be required to change the features of the NCP Facility to comply with new or changed regulatory requirements. |
| Technology and cyber risk | The NCP Facility is delivered through technology platforms which are subject to cybersecurity threats, software vulnerabilities and system failures. While we implement security measures to protect the platform, no system is immune to all threats. A cybersecurity incident could affect the availability, integrity or confidentiality of the NCP Facility or your data. |
| Service outages, faults and delays | The POP platform may experience outages, faults or delays due to planned maintenance, system failures or factors beyond Marmalade’s control. Such events may delay or prevent the processing of your Payment Instructions. |
| Refusal, blocking or suspension | Marmalade may refuse, block or suspend a payment or your account to manage fraud, anti-money laundering, counter-terrorism financing or other legal risks. Marmalade may not always be able to inform you of the reasons for such action. |
| Restricted card payments | Where card payments are available as a payment method, card payments may be refused for transactions involving restricted merchant category codes (MCCs). If your payment relates to a restricted MCC, the card scheme or Marmalade may decline the transaction. |
| User responsibility for Payment Instructions | You are responsible for the accuracy and completeness of all Payment Instructions submitted through the POP platform. Marmalade is not liable for errors, losses or delays arising from incorrect or incomplete Payment Instructions provided by you. |
The following fees and charges may apply when you use the NCP Facility. All fees are quoted in Australian dollars and are exclusive of GST unless otherwise stated.

Fees may be notified via the POP Portal and apply on a per-payment basis. The applicable fee for each Payment Method will be displayed in the POP Portal before you submit your Payment Instruction. For example, for a payment of $10,000, the fee would be $100, plus GST. Fees for other payment methods (Bank Transfer, Credit/Debit Card, PayTo, Eligible Accounts Receivable, M-Coin) are not yet confirmed, as these methods are not yet live.

We do not charge fees to receive funds into your POP account from external sources, but fees may be charged by your bank account provider or other third parties.
We may change our fees from time to time. We will notify you of any fee changes by publishing an updated fee schedule on our website. We will give you at least 30 days’ notice before any increase in fees takes effect.
The NCP Facility is a non-cash payment product. Under the Corporations Act, cooling-off rights do not apply to non-cash payment products. However, you may cancel your POP account at any time by contacting us (see clause 8 of Part A). Any pending transactions at the time of cancellation will be processed in accordance with our POP Terms and Conditions.
We are required to comply with the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) and related rules and regulations for the purposes of anti-money laundering and counter-terrorism financing (AML/CTF). To meet our obligations under the AML/CTF laws, we may, at any time:
We may not be permitted by law to inform you if we have taken any of the above actions or made a report in relation to you or your account. Marmalade may engage third party KYC service providers from time to time.
If you use our services, you may be subject to tax. The taxation implications of your transactions will depend on your own individual circumstances (including the purpose or nature of the relevant payment) and we recommend that you obtain independent professional taxation advice on the full range of taxation implications applicable to your own personal facts and circumstances.
We do not advise you of any taxation issues as well as of any possible changes in taxation laws should they occur. You are responsible for collecting, reporting and paying any taxes that may arise from your use of our services.
The information in this section is general information only.
This clause applies to individuals about whom we collect personal information in relation to your account. You agree to show this clause to all individuals who you have authorised to deal with us in relation to your account. In this clause, ‘your’ or ‘you’ includes any such individual.
We are committed to ensuring your privacy is protected and understand your concerns regarding the confidentiality and security of personal information you provide to us that we collect and use to provide you with products and services.
To do that, we may disclose your personal information to regulatory bodies or government agencies to verify your identity or to authenticate a document you provide to us. We may also disclose your personal information to organisations that carry out functions on our behalf, such as technology service providers, data hosting providers and payment processing partners.
Confidentiality agreements with these entities ensure this information is only used to carry out functions on our behalf. We may also share your personal information with prospective or existing guarantors or indemnifiers of any of your obligations of you. This information may also be shared with our related entities and our joint venture partners so that you can be informed about other products and services offered or distributed by us.
In most cases you will be able to gain access to personal information held by us. We will take reasonable steps to amend or correct your personal information to keep it accurate and up to date. You can opt out of receiving marketing communications from us about other products and services at any time.

If you want to use the NCP Facility, you will need to agree to our POP Terms and Conditions.
Our POP Terms and Conditions govern the relationship between you and us and set out the terms and conditions that will apply to all services that we provide you.
This combined FSG and PDS, and the NCP Facility, are governed by the laws of the Commonwealth of Australia and the State of Victoria.
Each party submits to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
Marmalade may amend the POP Terms and Conditions from time to time. Where Marmalade proposes to make changes, it will give you at least 30 days’ prior written notice (except where a shorter notice period, or no notice, is permitted to manage a material and immediate risk or to comply with legal requirements). If you do not agree with the proposed changes, you may terminate your use of the NCP Facility before the changes take effect.
Either you or Marmalade may terminate your use of the NCP Facility via the POP Portal. Marmalade may also terminate or suspend your account immediately if you breach the POP Terms and Conditions, act fraudulently, become insolvent, or if required by law. On termination, any pending Payment Instructions may continue to be processed in accordance with the POP Terms and Conditions, and any outstanding fees or amounts owed to Marmalade will remain payable.
In this combined FSG and PDS, unless the context otherwise requires:
AFCA means the Australian Financial Complaints Authority.
AFSL means Australian Financial Services Licence.
AML/CTF means the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) and associated rules and regulations.
AUSTRAC means the Australian Transaction Reports and Analysis Centre.
Business Day means a day that is not a Saturday, Sunday or public holiday in Victoria, Australia.
Corporations Act means the Corporations Act 2001 (Cth).
Direct Debit means the Payment Method by which Marmalade debits funds directly from your nominated Australian bank account in accordance with your Payment Instruction.
EDR means External Dispute Resolution.
FSG means Financial Services Guide.
GST means goods and services tax as defined in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
IDR means Internal Dispute Resolution.
Marmalade, we, us, our means Marmalade Payments (Aus) Pty Ltd (ABN 53 667 303 951, AFSL 700084).
M‑Coin means the credits you may earn and convert via the Marmalade Rewards program. For more information refer to the Marmalade Rewards Terms and Conditions.
Marmalade Rewards Terms and Conditions means the terms and conditions governing the Marmalade Rewards program (including M‑Coin), as amended from time to time and available on our website.
NCP Facility means the non-cash payment facility provided by us through the POP platform.
OAIC means the Office of the Australian Information Commissioner.
PDS means Product Disclosure Statement.
Payment Instruction means an instruction submitted by you through the POP platform to initiate a payment to a payee.
Payment Method means a method of payment available through the POP platform, as notified by Marmalade from time to time (which includes Bank Transfer, Credit/Debit Card, Direct Debit, PayTo, eligible accounts receivables and M‑Coin).
POP means Points on Payment, Marmalade’s payment platform, accessible via web. POP Portal means the online portal through which you access and manage your POP account, submit Payment Instructions and view payment information.
POP Terms and Conditions means the terms and conditions governing your use of the POP platform, as amended from time to time and available on our website.
Privacy Policy means our privacy policy, as amended from time to time and available on our website.
Relevant Laws means any statute, regulation, by-law, ordinance, subordinate legislation, common law, convention, treaty, code of practice, industry code, sanctions, direction, requirement, or guideline applicable to a party’s obligations under the POP Terms and Conditions.
